Board competence and excellence is an imperative. Financial scams that manifest as accounting and audit frauds are really leadership failures. 

The introduction of The Companies Act 2013, India (over the earlier Companies Act, 1956) provided for reduced Government interference, and more emphasis on board governance. That brought the holiday season to an end, and paved a path to jail for independent directors as well.

An able CS can ensure holding board meetings per legal norms. That checks the compliance box. But what of leadership? Some board members learn over time, some via exposure to other boards. There’s no comparison to value brought by well-informed board members who bring incomparable, real, hands-on experience. And so really, how good are you, how effective is your board?
